1.1. By accessing or using ITADpricing (the "Service"), operated by Proofen B.V., registered in Zwijndrecht, the Netherlands, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you may not use the Service.
1.2. These Terms apply to all users of the Service, including registered account holders, trial users, and visitors. The Service is intended for business-to-business (B2B) use only.
1.3. We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
2.1. ITADpricing is a B2B market intelligence platform for secondhand electronics pricing. The platform aggregates publicly available pricing data from resale platforms across European and UK markets.
2.2. The Service provides aggregated pricing analytics including minimum, average, and maximum prices, confidence scores, price history, trend data, and CSV upload-based bulk pricing.
2.3. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible.
3.1. To access certain features, you must create an account. You agree to provide accurate and complete information during registration and to keep your account credentials secure.
3.2. You are responsible for all activity under your account. Notify us immediately at info@proofen.nl if you suspect unauthorized access.
3.3. You may not share your account with third parties or allow multiple individuals to use a single account, unless your subscription plan explicitly permits this.
4.1. The Service is offered on a monthly recurring subscription basis. All prices are listed in euros (EUR) and are exclusive of applicable taxes.
4.2. Subscriptions renew automatically each month. You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of the current billing period.
4.3. We may change subscription pricing with at least 30 days notice. Existing subscribers will be notified by email before any price changes take effect.
4.4. Refunds are not provided for partial billing periods. Free trial periods, if offered, do not require payment information unless otherwise stated.
5.1. The pricing data provided through the Service is aggregated from publicly available sources. We do not reproduce individual product listings. All data is presented in aggregated form (minimum, average, maximum values).
5.2. You may use the data for your internal business purposes, including pricing decisions, market analysis, and inventory valuation.
5.3. You may not resell, redistribute, or publicly republish the raw data provided by the Service without prior written consent from Proofen B.V.
6.1. You may upload CSV files containing your inventory data for pricing. These files are processed to match and price your devices against our market data.
6.2. Uploaded files are processed in real time and are not stored permanently. We do not retain your uploaded inventory data beyond the processing session, unless explicitly stated otherwise in the feature description.
6.3. You are solely responsible for the content of files you upload. Do not upload files containing personal data of individuals or any data you are not authorized to share.
7.1. All intellectual property rights in the Service, including the software, design, aggregated data models, algorithms, and branding, belong to Proofen B.V.
7.2. Your subscription grants you a limited, non-exclusive, non-transferable license to access and use the Service for the duration of your subscription.
7.3. You may not copy, reverse-engineer, decompile, or create derivative works of any part of the Service.
8.1. To the maximum extent permitted by law, Proofen B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
8.2. Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
8.3. We are not liable for any business decisions made based on data provided through the Service.
9.1. All prices displayed on the platform are indicative and based on publicly available market data. Prices are not guaranteed and should not be treated as binding offers.
9.2. Market data may be delayed, incomplete, or subject to source-specific inaccuracies. Confidence scores are provided to help you assess data reliability, but they do not constitute a warranty of accuracy.
9.3. You are responsible for verifying prices independently before making purchasing or selling decisions.
10.1. You may terminate your account at any time by cancelling your subscription and contacting us at info@proofen.nl.
10.2. We may suspend or terminate your account if you violate these Terms, engage in abusive behaviour, or fail to pay subscription fees.
10.3. Upon termination, your access to the Service will cease. We may delete your account data in accordance with our Privacy Policy.
11.1. These Terms are governed by and construed in accordance with the laws of the Netherlands.
11.2. Any disputes arising from or in connection with these Terms shall be submitted to the competent court in Rotterdam, the Netherlands.
